RankShield for Shopify — Terms of Service

These Terms govern your use of the RankShield application for Shopify ("RankShield", "the app"), provided by SEO Elite Agency LLC ("we", "us"). By installing or using the app you agree to them. If you are accepting on behalf of a business, you confirm you are authorized to bind that business.

How we handle data is covered separately and in detail in our Privacy Policy, which forms part of these Terms.

1. What the service is

RankShield is a fraud- and abuse-protection app for Shopify merchants. It analyzes storefront traffic, checkout and order activity, and (where you choose to connect them) read-only advertising and analytics data, in order to identify automated or abusive activity and report it to you. Depending on your plan and your configured settings, it can also apply protective responses such as a recoverable challenge.

2. Plans and billing

Billing is handled entirely by Shopify through Shopify Managed Pricing. We do not process your payment details and never see your card. Current plans:

Charges, proration, refunds and cancellation follow Shopify's billing rules and your Shopify agreement. You can change or cancel your plan at any time from your Shopify admin. Uninstalling the app cancels recurring charges going forward; it does not by itself refund charges already billed. Prices may change on notice, and a change takes effect on your next billing cycle.

4. Connected third-party accounts

The Ads and SEO & ROI features work only if you connect your own Google, Meta, TikTok or Microsoft accounts through their official OAuth. We request read-only scopes. We do not create, edit, pause or otherwise change your campaigns, budgets or store content. You can disconnect at any time from Settings or from the platform itself. Those platforms remain governed by their own terms, and their data, availability and API behavior are outside our control.

This section matters more than the rest, so it is written plainly rather than defensively.

We cannot stop an ad platform from serving or billing an invalid click. Google, Meta, Microsoft and TikTok serve ads and charge for them inside their own systems. No third party interposes itself in that transaction. What we can do is detect invalid activity, govern the signals we send to those platforms, protect your storefront, and produce evidence.
Refunds and credits from ad platforms are entirely at those platforms' discretion. Evidence we produce may support a dispute. It does not entitle you to a refund, and we do not guarantee any recovery, amount or outcome.
No detection system is perfect. RankShield may fail to identify some abusive activity, and may flag activity that turns out to be legitimate.
We deliberately favor letting a real customer through. Where the evidence is ambiguous, the app is designed to serve the visitor rather than risk turning away a genuine buyer. Protections default to monitor-only, and where the app acts it uses a recoverable challenge rather than a hard block. This is an intentional trade-off: it means some abusive traffic is allowed through, and we consider that the correct error to make.
Results vary. Nothing in the app, our marketing or our reporting is a guarantee of revenue, savings, ad performance, search ranking or conversion outcomes.

6. Acceptable use

You may not use RankShield to surveil or profile individuals for purposes unrelated to protecting your store, to discriminate against protected classes, to reverse engineer or resell the service, to interfere with its operation or security, or to exceed documented rate limits. We may suspend access where use threatens the integrity of the service or other merchants.

7. Threat intelligence network

As described in the Privacy Policy, confirmed malicious network prefixes and attack types (never personal data) may be shared across the RankShield protection network so that an attacker seen at one store can be recognized at others. You grant us permission to include such non-personal indicators derived from activity against your store. You may request exclusion by contacting us.

8. Intellectual property

We retain all rights in the app, its models, detection logic and documentation. You retain all rights in your store data and content. We claim no ownership over your data, and use it only to provide the service as described in the Privacy Policy.

9. Availability and support

We aim for continuous availability but do not commit to a specific uptime figure under these Terms, and the service may be interrupted for maintenance, third-party outages or events beyond our control. Support is available at hello@seoeliteagency.com.

10. Disclaimer of warranties

To the fullest extent permitted by law, the app is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost ad spend, lost data or lost goodwill, arising from or relating to the app, even if advised of the possibility. Our total aggregate liability arising out of or relating to these Terms is limited to the amounts you paid us for the app in the twelve months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain of these limitations, in which case they apply to the maximum extent permitted.

12. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your use of the app in breach of these Terms, your unlawful use of the app, or your lack of authority over a store or connected account you linked.

13. Term and termination

These Terms apply for as long as the app is installed. You may terminate at any time by uninstalling. We may suspend or terminate access for breach of these Terms, for non-payment, or where required by Shopify or by law. On uninstall we purge your shop's data in line with the retention and deletion section of the Privacy Policy, including the shop/redact webhook 48 hours after uninstall.

14. Changes to these Terms

We may update these Terms. Where a change is material we will give notice through the app or by email before it takes effect. Continued use after the effective date constitutes acceptance. The "last updated" date at the top of this page always reflects the current version.

15. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in Collier County, Florida have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
